Going public via a self filing gives you control of your share structure and your initial share holders. It also gives you the ability to raise capital in advance through private placements and private equity sales into your company. Any debt financing also now has newly established and available collateral.
 
Spin-offs to the OTCBB Market:
 
A spin-off is one of the more creative or unique ways to go public. It is a fairly unconventional way of becoming publically traded but it gives companies a chance to get off the ground. It also allows the management and employees within a company the chance to learn and operate under the scrutiny of the public market authorities. However, approaching an acquisition and spin off involves a lot of due diligence and research in order to find the right fit. The most common and most heard buzz word for going public in the small and microcap arena is “reverse merger.” For some reason, people seem to gravitate toward this option because they feel that it is the quickest. By definition, a reverse merger is the acquisition of a public company by a private company, allowing the private company to bypass the usually lengthy and complex process of going public. In laymen’s terms however, a reverse merger is when your company moves into the old existing shell of a failed corporation. This quick process can however come with complications. Because you are moving into the shell of a former corporation, you may inherit some difficult complications and you are forced to take the good with the bad.
